The overarching agreement you make with CrossTrade

1. Overview

This website, and the services and/or products offered herein, are owned and operated by CrossTrade, LLC (“CrossTrade”, “we” or “us”), a Wyoming limited liability company. By using this website and associated application (the “Site”), you, as the user (“User”, “Customer” or users collectively as “Customers”), agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy and any additional terms and conditions that may apply to specific sections of this Site or to products and services available through the Site or from CrossTrade. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service. You must be at least eighteen (18) years of age or older to use this Site and Services. If you are not at least 18 years old, you may not use the Services.

CrossTrade serves exclusively as an intermediary software platform that processes and forwards webhook alerts from third-party trading systems to users’ preferred brokers. CrossTrade does not provide brokerage services, investment advice, or trading recommendations.

2. Purpose and Scope

CrossTrade is a specialty application with the express goal (the “Purpose”) of providing a broker and platform-agnostic abstraction layer to enable a User’s connection of their preferred third-party trade alerting platform or systems to their broker of choice via the intermediary CrossTrade system. CrossTrade is not a broker, dealer, investment advisor, or fiduciary, and does not provide investment advice or execute trades on behalf of users. It solely acts as a technical intermediary.

3. Definitions

Request: An HTTP message payload from any remote address or 3rd-party service.
Alert: A standardized Request submitted to a specific webhook endpoint address (a URL which is generated by CrossTrade in response to the user configuring a new brokerage connection). When an Alert is received, CrossTrade will validate the request, transliterate the Request package into the preferred format of the selected brokerage, and forward it to the preferred brokerage via direct brokerage API connection or webhook connection.

4. Customer Account Information

A. Requirements for Account Creation

The Services require a CrossTrade Customer Account for usage. You must be at least eighteen (18) years of age or older to create a Customer Account. By setting up a Customer Account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. In setting up your Customer Account, you commit to providing true, current, accurate, and complete information as requested by the Customer Account registration form (“Customer Data”) and regularly updating and maintaining the Customer Data to ensure its accuracy and currency. CrossTrade relies on the Customer Data to deliver the Services, and any outdated or incorrect Customer Data can impede CrossTrade’s ability to provide the Services effectively. Consequently, if CrossTrade has reasonable grounds to believe that the Customer Data is not accurate or up-to-date, CrossTrade reserves the right to suspend or terminate your Customer Account and may refuse any future use of the Services by you.

B. Account Deletion and Refunds

You have the option to delete or cancel your Account at any time and for any reason, by following the instructions provided on the Site. However, CrossTrade does not offer refunds for services that have been pre-paid. Therefore, if you cancel your account while there is a pre-paid balance, you will forfeit any remaining pre-paid balance. No refunds are available in such scenarios.

C. Security and Unauthorized Access

During the registration process, you will be required to create a password for your CrossTrade Customer Account. It is crucial to keep your password confidential at all times, as you are accountable for all activities originating from your Customer Account. Access to your Customer Account is only possible by entering your password. Under no circumstances should you share your password with anyone. While CrossTrade implements reasonable security measures to safeguard the confidentiality of your password, including encryption and access controls, it cannot assure complete protection of your password, Customer Account, Customer Content, or your personal and financial information. CrossTrade cannot ensure that its security protocols will be impenetrable to third-party hackers attempting to illegally access the Services or its content. By using the Services and establishing a Customer Account, you acknowledge and accept all risks of unauthorized access to the Customer Data and any other information you provide to CrossTrade. In the event of unauthorized use of your Account, you must immediately notify CrossTrade of such unauthorized access or any suspected unauthorized use, or any other breach of security.

D. User Responsibilities

By using the Services and creating a Customer Account, you agree to assume all risks associated with unauthorized access to the Customer Data and any other information you provide to CrossTrade. If CrossTrade suspects that your password has been compromised or is no longer secure, it reserves the right to suspend your Customer Account or require a password change. CrossTrade is not responsible for any loss or damage resulting from your non-compliance with the above requirements, or from security breaches of your account due to your failure to use a secure and unique password, failure to safeguard your login credentials, or inability to prevent unauthorized access to your account. Users are responsible for ensuring that their use of the Services complies with all applicable federal, state, and local laws, including those related to securities trading and data privacy.

5. Customer Secret Key

It is imperative that you safeguard your secret key with the highest level of care, as it provides direct access to your brokerage account. Any unauthorized person who obtains your secret key can use it to place trades or execute transactions in your account, potentially leading to significant financial losses, unwanted trades, or other harmful outcomes. You acknowledge that CrossTrade, LLC has no control over the security of your secret key once issued and is not liable for any unauthorized access, misuse, or the consequences thereof.

By using our services, you expressly agree to:

1. Take full responsibility for maintaining the confidentiality and security of your secret key.
2. Acknowledge that any actions taken using your secret key are considered authorized by you, regardless of whether they were carried out by you or a third party.
3. Indemnify, defend, and hold harmless CrossTrade, LLC, its officers, employees, and affiliates from any claims, liabilities, damages, losses, or legal actions arising out of or related to the unauthorized use of your secret key, including but not limited to financial losses and unwanted trading outcomes.

You hereby waive any right to pursue legal action against CrossTrade, LLC for any consequences resulting from the use or misuse of your secret key, whether by you or a third party. CrossTrade, LLC is absolved of all responsibility and liability in relation to any such incidents.

6. Customer Trial Period

CrossTrade offers new users a 7-day free trial period to evaluate the Services. Users are entitled to one free trial per machine ID. Any attempt to create multiple trials using the same machine ID, or to avoid subscription fees by using consecutive trials, is strictly prohibited and constitutes a violation of these Terms of Service. If such abuse is detected, CrossTrade reserves the right to:

Terminate your access to the Services.
Block your webhook URL.
Pursue legal action to recover lost subscription fees and applicable damages.


CrossTrade also reserves the right to implement any technical measures necessary to prevent further exploitation of the trial system. By using the trial or creating an account, you agree to comply with this policy and acknowledge that any attempt to circumvent subscription fees is grounds for account termination

7. Alerts and Data Handling

Each Alert contains instructions for the brokerage to perform an action on behalf of the user in the user’s account. Such Requests may include, without limitation, commands to open new positions, close existing positions, adding to an existing position, reduce an existing position, and other trading-related actions that users would otherwise perform manually in their accounts. To be valid, each Alert must be formatted in compliant Request, and must contain the symbol of a tradable security, an action (e.g., “buy” or “sell”), and the quantity. When received, the Alert will be converted into the preferred format of the selected brokerage and forwarded to the brokerage. The brokerage will then be responsible for placing the order in the user’s account.

Users are solely responsible for the accuracy and appropriateness of the trading strategies they configure within their third-party alerting platforms. CrossTrade does not review or monitor the validity or logic of the trading alerts configured by users.

CROSSTRADE DOES NOT OFFER ALERTS OF ITS OWN, NOR DOES CROSSTRADE EXECUTE ANY TRADES ITSELF, NOR DOES CROSSTRADE GUARANTEE TRADES WILL BE EXECUTED AT ANY PARTICULAR TRADE PRICE, NOR DOES IT CONTROL BROKERS, BROKERAGE FIRMS, OR ANY OTHER INDIVIDUAL, ENTITY, PRODUCT, SERVICE, OR OTHER THIRD-PARTY AS IT RELATES TO EXECUTED TRADES. CROSSTRADE MERELY PROVIDES A METHOD FOR A CROSSTRADE USER TO CONVERT AN ALERT IN THEIR TRADING SOFTWARE INTO AN ORDER IN THEIR BROKER/BROKERAGE FIRM VIA SUPPLIED USER INFORMATION.

8. Privacy Policy

CrossTrade’s Privacy Policy (the “Policy”), which can be found at Crosstrade.io/privacy-policy, is hereby incorporated into these Terms of Service by reference. Review the Policy for information relating to CrossTrade’s security measures and its collection, processing, and use of your personal, geographic, and financial information. CrossTrade retains Customer Data as long as necessary to provide the Services or as required by applicable law. Upon account deletion, CrossTrade will make reasonable efforts to delete or anonymize Customer Data unless retention is required for legal or regulatory purposes. CrossTrade is committed to protecting your privacy and ensuring that your personal information is handled in accordance with applicable privacy laws and regulations. CrossTrade will not use Customer Data for purposes other than processing Alerts or as authorized by the Customer, except as required by law. Any disputes regarding the Privacy Policy are subject to these Terms of Service. 9. Additional Features and Conditions

To access certain features, engage in promotions, or utilize specific Services, CrossTrade may require your agreement to additional rules, policies, or conditions (collectively, “Conditions”). These Conditions might encompass disclaimers mandated by law, stipulations required by CrossTrade, conditions imposed by your broker, or other legal notices pertinent to the particular aspects of the Service you are utilizing. In such cases, you may need to express your agreement to relevant Conditions by clicking a button or checking a box, signifying your consent. Should the terms of these “click-through” agreements differ from these Terms of Service, the provisions of the click-through agreement will modify these Terms of Service, but only in relation to aspects covered by the click-through agreement.

10. Modification of the Terms

CrossTrade reserves the right to modify, supplement, or remove parts of these Terms of Service or any applicable Conditions at its sole discretion and at any time. If there are changes to these Terms of Service, CrossTrade will inform you through the email address you have registered with us. It is your responsibility to periodically check these Terms of Service, the Policy, and any Conditions for updates. Your ongoing use of the Services following the posting of any changes to these Terms of Service or Conditions signifies your acceptance of those changes. If you do not agree to the updated terms, you must cease all use of the Services immediately. Users acknowledge that CrossTrade shall not be liable for any loss of access or usage due to modifications or discontinuation of the Services.

11. Acceptance of Terms of Service and Conditions

By utilizing the Service and the Content, you consent to adhere to and be governed by these Terms of Service and Conditions, inclusive of the policies mentioned herein. Your acceptance of these Terms of Service is effective upon your first use of the Site or the Services and extends to all future modifications or updates to the Terms. You acknowledge that these Terms of Service are in addition to any other agreements between you and CrossTrade, including any customer or account agreements and any other agreements that govern your use of software, products, goods, services, content, tools, and information provided by CrossTrade.

12. Refund Policy

CrossTrade does not provide refunds for services that have been pre-paid. If you choose to cancel your account before the end of your pre-paid subscription period, you forfeit any remaining time and associated fees. No refunds are available for unused portions of the subscription or promotional trials. CrossTrade reserves the right to modify the refund policy at any time, with such changes taking effect immediately upon posting to the Site or upon direct communication with the user. Your use of the Services signifies acceptance of this Refund Policy and its terms.

13. Proprietary Rights

CrossTrade owns and operates the Services. The Services, any software used in connection with the Services, and any CrossTrade Content (as defined in Section 13) are licensed, not sold, to you, the user. By using the Services, you agree that the Services, any software, or algorithms used in connection with the Services, and any CrossTrade Content contain proprietary and confidential information that is protected by intellectual property and other applicable laws. You are prohibited from modifying, renting, leasing, loaning, licensing, selling, distributing, or creating derivative works based on the Services, software, or Content offered, unless such activities are explicitly allowed by applicable law or authorized by CrossTrade.

CrossTrade grants you a personal, non-transferable, and non-exclusive license to access and use the Services. This license is valid only as long as you do not, and do not permit any Third-Party to, copy, modify, create a derivative work from, reverse engineer, attempt to discover any source code, sell, assign, secure a security interest in, or otherwise transfer any rights in the Services. Access to and use of the Services must be through the interface provided by CrossTrade, and you agree not to access the Services by any other means.

The name “CrossTrade”, along with its associated logos, marks, designs, and names of specific Services, are the exclusive trademarks of CrossTrade, and you must not use or display these trademarks without CrossTrade's prior written consent. All rights not explicitly granted under this agreement are reserved by CrossTrade. Any Third-Party trade or service marks displayed through the Services are the property of their respective owners. Apart from what is stated in this agreement, you agree to use the Services and Content solely for your personal and non-commercial purposes.

14. Third-Party Content and Promotions

A. Third-Party Content

CrossTrade displays Third-Party Content, including links and advertisements, over which it has no control. CrossTrade does not endorse Third-Party Content or the information, materials, products, or services linked to it. Interactions with Third-Parties due to Third-Party Content are solely between you and the Third-Parties, independent of CrossTrade. CrossTrade is not liable for any loss or injury resulting from such dealings or the display of Third-Party Content. Your use of or reliance upon any Third-Party Content is at your own risk. CrossTrade shall not be held responsible for the actions, errors, omissions, or failures of third-party brokers, platforms, or service providers.

B. Third-Party Links

CrossTrade and Third-Parties may provide links to other websites or resources. CrossTrade has no control over such websites or resources and is not responsible for their availability. CrossTrade does not endorse such external sites, and linking to third-party sites does not imply an endorsement or recommendation of their content, products, or services. CrossTrade is not liable for any content, advertising, products, or materials on these external sites. CrossTrade is not responsible for any loss or injury resulting from visiting linked external websites or resources. It is your responsibility to review the terms and conditions and privacy policies of any third-party sites you access through links on CrossTrade.

C. Third-Party Promotions

CrossTrade may occasionally offer special pricing or discounts to users of products owned by its parent organization, sister organizations, subsidiaries, or affiliates. CrossTrade reserves the right to offer such benefits, discounts, or promotions, which will expire 12 months after the issuing date, unless otherwise specified. Any offers or promotions are subject to the specific terms and conditions outlined at the time of the offer, and CrossTrade reserves the right to discontinue or modify any promotions without notice

15. Rules of Service Use

A. Non-Solicitation

Soliciting or recruiting other CrossTrade users or members is prohibited unless you have obtained written permission from CrossTrade. This includes soliciting users to join competitive sites and services or to make their methods available outside of CrossTrade. Violating this policy may result in account termination and legal action to recover lost revenues and applicable damages.

B. Acceptable Use Policy

In addition to other restrictions, you agree not to interfere with or burden servers or sites connected to CrossTrade, access CrossTrade in an unauthorized manner, use software or scripts to create multiple accounts or generate automated searches or queries, or scrape data from CrossTrade. CrossTrade grants conditional permission to public search engines to use spiders for creating publicly available searchable indices of the materials. Such permission is revocable at any time without notice. You are not permitted to engage in any activity that may disrupt or interfere with the functionality of the Services or its associated systems. CrossTrade reserves the right to terminate your account immediately and without notice if you engage in activities that violate this Acceptable Use Policy, engage in fraudulent activities, attempt to circumvent security protocols, or are involved in activities that may harm the integrity or reputation of CrossTrade or its users.

16. Disclaimers of Warranties and Release of Liability

A. General Disclaimer of Warranties

CrossTrade is not responsible for any disruptions to Services caused by changes or updates made by third-party brokers to their API structures or protocols. Users acknowledge that such changes may impact the transmission or execution of their trade alerts, and it is the user's responsibility to ensure compatibility with any third-party brokers. The Services, including the Site and Third-Party software or applications, are provided "as is" without warranties of any kind. CROSSTRADE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. CrossTrade and its subsidiaries, affiliates, officers, employees, agents, partners, licensors, and suppliers do not warrant that the Services will meet your requirements, be uninterrupted, error-free, secure, accurate, reliable, or that any errors will be corrected. Any products, services, information, or materials obtained through the Services are used at your own discretion and risk. Users are solely responsible for monitoring their trading accounts and ensuring the accuracy of the alerts they configure. CrossTrade does not guarantee timely delivery or accuracy of alerts. CrossTrade does not guarantee the uninterrupted or error-free transmission of data or alerts to third-party brokers or trading platforms. Users understand that network issues, server outages, and third-party system failures can affect the timely delivery of data, and CrossTrade shall not be liable for any losses or disruptions arising from such issues.

B. Miscellaneous Disclaimers

CrossTrade disclaims liability for content accuracy, legality, operability, reliability, or availability of information or material provided by the Services. It disclaims responsibility for search results, financial market analysis, erasure, data storage, delivery failures, and injuries from downloading materials from the Services. Users download or access materials at their own risk. CrossTrade does not confirm pricing data or monitor customer alerts or broker behavior. You are responsible for setting trading alerts, configuring them correctly, and monitoring their processing. CrossTrade is not liable for discrepancies in trade prices or third-party failures to execute trades.

17. Live Trading Risks

Using CrossTrade acknowledges risks in automated trading and investing. CrossTrade is not liable for losses incurred. These risks include design errors, connectivity issues, algorithm flaws, market conditions, data inaccuracies, execution problems, criminal activities, and rapid losses. Users should closely monitor their live trading activities, as automated trading may execute transactions quickly based on set parameters. CrossTrade is not responsible for unintended trading outcomes that result from user-set algorithms or alerts.

Users acknowledge that the transmission of trade alerts and their execution by third-party brokers may be subject to latency or connectivity delays, which can affect the price and timing of order execution. CrossTrade is not responsible for any losses resulting from latency or delays in transmitting alerts to brokers.

Automated trading carries inherent risks, including but not limited to the risk of financial losses due to misconfigured alerts, rapid market movements, or technical errors. Users should monitor their automated trading activities closely. CrossTrade is not responsible for any unintended trading outcomes or financial losses resulting from the use of automated trading strategies.

CrossTrade does not guarantee the accuracy, completeness, or timeliness of any market data received or processed through the Services. Users acknowledge that market data may be subject to delays, interruptions, or inaccuracies beyond CrossTrade's control. CrossTrade is not liable for any trading decisions made based on such market data. For more information on trading related risks, please reference our Trading Disclaimer.

18. Indemnification

You agree to indemnify, defend, and hold harmless CrossTrade, its officers, employees, agents, subsidiaries, affiliates, licensors, and suppliers from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:

- Your use of the Services.
- Your violation of these Terms of Service.
-  Any violation of law or the rights of a third party.
- Your Customer Content, including any allegations that your Customer Content infringes or misappropriates the intellectual property rights of a third party.
- Any other activities in connection with your use of the Services, including any allegations of negligence or intentional wrongdoing by you.

CrossTrade reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with CrossTrade in asserting any available defenses. You agree not to settle any such matter without the prior written consent of CrossTrade.

19. Limitations of Liability and Damages

CROSSTRADE AND ITS AFFILIATES, SUBSIDIARIES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CROSSTRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH:

- YOUR USE OR INABILITY TO USE THE SERVICES.
- THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED, OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES.
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
- STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES.
- ANY OTHER MATTER RELATING TO THE SERVICES.

The total liability of CrossTrade to you for all claims under these Terms of Service or related to the Services is limited to the greater of (a) the amount paid by you to CrossTrade for the Services in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars (USD $100). These limitations of liability apply to all claims, regardless of whether based on contract, tort, warranty, strict liability, or any other legal theory, even if a remedy fails its essential purpose. CrossTrade shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, government action, cyber-attacks, power outages, or other events of force majeure. By using the Services, you waive the right to pursue claims or damages against CrossTrade for delays, failures, or actions taken in compliance with applicable law.

20. Arbitration Agreement

A. Dispute Resolution

Any disputes, claims, or controversies arising out of or relating to these Terms of Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by binding arbitration. Arbitration shall be conducted before a panel of three arbitrators in a location selected by CrossTrade’s ownership. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

B. Waiver of Jury Trial and Class Actions

By agreeing to these Terms of Service, you and CrossTrade each waive the right to a jury trial or to participate in a class action. All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

C. Confidentiality of Arbitration

The arbitration proceedings, including any rulings, decisions, and awards, shall remain strictly confidential, except as may be required by law or as necessary to enforce any arbitration award. Any party disclosing confidential information without the other party’s consent may be subject to legal action.

D. Arbitrator’s Authority

The arbitrator shall have the authority to grant any remedy or relief that would otherwise be available in a court of law. The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction

21. Choice of Law and Venue

These Terms of Service and any action related thereto will be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes not subject to arbitration and arising from these Terms of Service shall be resolved in the state or federal courts of Wyoming, and you consent to the exclusive jurisdiction of and venue in such courts

A. Statute of Limitations

Any claim or cause of action arising out of or related to the use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. This provision will not apply where prohibited by law

22. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court or arbitrator, that provision shall be enforced to the maximum extent permissible, and the other provisions of these Terms of Service shall remain in full force and effect. The invalidity of any part of these Terms shall not render the entire Terms unenforceable. If any provision is deemed unenforceable, the remaining provisions shall continue in full force, except where such invalidity would render the overall agreement ineffective.

23. Assignment

You may not assign, transfer, or delegate these Terms of Service or your rights and obligations hereunder without the prior written consent of CrossTrade. CrossTrade may freely assign, transfer, or delegate these Terms of Service and any rights or obligations hereunder without restriction. Any purported assignment, transfer, or delegation in violation of this provision is void.

24. Amendments

CrossTrade reserves the right to amend or modify these Terms of Service at any time in its sole discretion. Amendments will be posted on the Site or otherwise communicated to you. If you do not agree to the amended Terms, you must stop using the Services. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes.

25. California Users

California users have specific rights regarding pricing inquiries and complaints. California's Consumer Services Division can be contacted for assistance. Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

26. Digital Millennium Copyright Act of 1988

DMCA provisions apply for copyright claims related to CrossTrade. Proper notice must be given to CrossTrade for copyright infringement claims or counter notices. CrossTrade respects the intellectual property rights of others. If you believe that any content on the Site infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") by providing the following information to our designated DMCA Agent:

- A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled.
- Information reasonably sufficient to permit CrossTrade to contact you, such as an address, telephone number, and, if available, an email address.
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

27. Miscellaneous

No joint venture, partnership, employment, or agency relationship exists between you and CrossTrade as a result of these Terms or your use of the Services. These Terms constitute the entire agreement between you and CrossTrade regarding the Services and supersede any prior agreements between you and CrossTrade. The failure of CrossTrade to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.

You agree that any notices, agreements, disclosures, or other communications that CrossTrade sends to you electronically will satisfy any legal communication requirements, including that such communications be in writing. CrossTrade reserves all rights not expressly granted in these Terms.

CrossTrade controls the Services from its offices in the United States. It makes no representation that the Services or Content are appropriate or available for use in other locations. Accessing the Services from jurisdictions where the Services or Content are illegal is prohibited. You are responsible for compliance with local laws when accessing the Services outside the United States.

CrossTrade Content may not be exported or used in violation of United States export laws and regulations. CrossTrade retains the right to modify or discontinue the Services at any time, with or without notice.

28. User Generated Content

CrossTrade is not responsible for any content uploaded, posted, transmitted, or shared by users of the Services. Users are solely responsible for the content they create and share and agree to indemnify CrossTrade for any claims arising from such content. By providing user-generated content through the Services, you represent and warrant that you have all necessary rights to submit such content, and that it does not infringe upon the rights of any third party. CrossTrade may monitor user-generated content and reserves the right to remove content that violates these Terms of Service or is deemed objectionable, at its sole discretion

29. Service Availability and Downtime Disclaimer

CrossTrade aims to provide reliable and continuous access to the Services; however, the availability of the Services may be affected by factors outside of CrossTrade's control, including maintenance, technical issues, or unexpected outages. CrossTrade does not guarantee uninterrupted access to the Services and is not liable for any downtime or disruption. CrossTrade reserves the right to perform maintenance or updates that may temporarily impact access to the Services. Users acknowledge that such maintenance may occur without notice and agree that CrossTrade shall not be liable for any loss of data, missed opportunities, or other damages arising from service interruptions.

30. Jurisdictional Restrictions

CrossTrade’s Services are intended only for users in jurisdictions where the Services may legally be offered. CrossTrade makes no representations that the Services are appropriate or available for use in all jurisdictions. Users accessing the Services from restricted locations do so at their own risk and are responsible for compliance with local laws. CrossTrade reserves the right to restrict or terminate access to the Services in any jurisdiction where it deems such use to be unlawful.
