The overarching agreement you make with CrossTrade.

Overview

This website, and the services and/or products offered herein, are owned and operated by CrossTrade, LLC (“CrossTrade”, “we” or “us”), a Wyoming limited liability company. By using this website and associated application (the “Site”), you, as the user (“User”, “Customer” or users collectively as “Customers”), agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy and any additional terms and conditions that may apply to specific sections of this Site or to products and services available through the Site or from CrossTrade. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service.

CrossTrade is a specialty application with the express goal (the “Purpose”) of providing a broker and platform-agnostic abstraction layer to enable a User’s connection of their preferred third-party trade alerting platform or systems to their broker of choice via the intermediary CrossTrade system.

An HTTP message payload from any remote address or 3rd-party service, herein referred to as a "Request".

An “Alert” is a standardized Request submitted to a specific webhook endpoint address (a URL which is generated by CrossTrade in response to the user configuring a new brokerage connection). When a Alert is received, CrossTrade will validate the request, transliterate the Request package into the preferred format of the selected brokerage, and forward it to the preferred brokerage via direct brokerage API connection or webhook connection.

Each Alert contains instructions for the brokerage to perform an action on behalf of the user in the user’s account. Such Requests may include, without limitation, commands to open new positions, close existing positions, adding to an existing position, reduce an existing position, and other trading related actions that users would otherwise perform manually in their accounts.

To be valid, each Alert must be formatted in compliant Request, and must contain the symbol of a tradable security, an action (e.g., “buy” or “sell”), and the quantity. When received, the Alert will be converted into the preferred format of the selected brokerage and forwarded to the brokerage. The brokerage will then be responsible for placing the order in the user’s account.

CROSSTRADE DOES NOT OFFER ALERTS OF ITS OWN, NOR DOES CROSSTRADE EXECUTE ANY TRADES ITSELF, NOR DOES CROSSTRADE GUARANTEE TRADES WILL BE EXECUTED AT ANY PARTICULAR TRADE PRICE, NOR DOES IT CONTROL BROKERS, BROKERAGE FIRMS, OR ANY OTHER INDIVIDUAL, ENTITY, PRODUCT, SERVICE, OR OTHER THIRD-PARTY AS IT RELATES TO EXECUTED TRADES. CROSSTRADE MERELY PROVIDES A METHOD FOR A CROSSTRADE USER TO CONVERT AN ALERT IN THEIR TRADING SOFTWARE INTO AN ORDER IN THEIR BROKER/BROKERAGE FIRM VIA SUPPLIED USER INFORMATION.

CrossTrade, in service of its Purpose, offers web-based tools to enable users to connect third-party trading platforms to third-party brokerage platforms via the intermediary CrossTrade platform (collectively, the “Services”). By connecting your brokerage account to CrossTrade, you agree that you understand this connection will make available certain content (the “Content”) to CrossTrade. This content includes, without limitation: (1) account positions, balances, transactions, confirmations, and order history; (2) market data such as quotations for securities transactions and/or last sale information for completed securities transactions reported in accordance with federal securities regulations; (3) any other information available to CrossTrade via your broker’s API. CrossTrade will only use data it has access to for the purpose of processing user Alerts and for no other purpose unless expressly authorized by you. These Terms of Service may be updated by CrossTrade at any time without notice to you.

CrossTrade may make changes to the Services or any applicable prices at any time without notice. These Terms of Service may be altered or superseded by designated legal notices described on certain website pages. CrossTrade retains the right to modify or eliminate, for any length of time, the Services or any portion thereof, at any time and without notice. By using, downloading, purchasing, or otherwise accessing the Services you agree that CrossTrade shall not be liable to you or any third-party as a result of any modification or elimination of the Services. By accessing, purchasing, downloading, or otherwise using the Services, you are agreeing to be bound by these Terms of Service and any and all future modifications thereof. If you do not agree to be bound by these Terms of Service, you must cease all use of the Services.

Your use of the Services and CrossTrade’s Site indicates that you represent that: You are eighteen (18) years of age or older and can legally enter into and form contracts; and by using or otherwise accessing the Services, you expressly agree that: CrossTrade has offered the Services in reliance upon the warranty disclaimers, releases, and limitations of liability contained herein; These warranty disclaimers, releases, and limitations of liability reasonably and fairly allocate risk between you and CrossTrade; and these warranty disclaimers, releases, and limitations of liability form an essential basis of the bargain between you and CrossTrade, and that without such warranty disclaimers, releases, and limitations of liability CrossTrade would be unable to provide the Services to you. These Terms of Service are in addition to any other agreements between you and CrossTrade, including any customer or account agreements and any other agreements that govern your use of software, products, goods, services, content, tools, and information provided by CrossTrade.

Privacy Policy

CrossTrade's Privacy Policy (the “Policy”), which can be found at , is hereby incorporated into these Terms of Service by reference. Review the Policy for information relating to CrossTrade’s security measures and its collection, processing, and use of your personal, geographic, and financial information.

Additional Features

To access certain features, engage in promotions, or utilize specific Services, CrossTrade may require your agreement to additional rules, policies, or conditions (collectively, “Conditions”). These Conditions might encompass disclaimers mandated by law, stipulations required by CrossTrade, conditions imposed by your broker, or other legal notices pertinent to the particular aspects of the Service you are utilizing. In such cases, you may need to express your agreement to relevant Conditions by clicking a button or checking a box, signifying your consent. Should the terms of these “click-through” agreements differ from these Terms of Service, the provisions of the click-through agreement will modify these Terms of Service, but only in relation to aspects covered by the click-through agreement.

Modification of the Terms

CrossTrade reserves the right to modify, supplement, or remove parts of these Terms of Service or any applicable Conditions at its sole discretion and at any time. If there are changes to these Terms of Service, CrossTrade will inform you through the email address you have registered with us. It is your responsibility to periodically check these Terms of Service, the Policy, and any Conditions for updates. Your ongoing use of the Services following the posting of any changes to these Terms of Service or Conditions signifies your acceptance of those changes.

Acceptance of Terms of Service and Conditions

By utilizing the Service and the Content, you consent to adhere to and be governed by these Terms of Service and Conditions, inclusive of the policies mentioned herein.

Customer Account Information

A. The Services require a CrossTrade Customer Account for usage. In setting up your Customer Account, you commit to: Providing true, current, accurate, and complete information as requested by the Customer Account registration form (“Customer Data”); and regularly updating and maintaining the Customer Data to ensure its accuracy and currency. CrossTrade relies on the Customer Data to deliver the Services, and any outdated or incorrect Customer Data can impede CrossTrade’s ability to provide the Services effectively. Consequently, if CrossTrade has reasonable grounds to believe that the Customer Data is not accurate or up-to-date, CrossTrade reserves the right to suspend or terminate your Customer Account and may refuse any future use of the Services by you. By using the Services, you affirm and guarantee that you have the legal capacity to enter into a binding contract and are not prohibited from receiving the Services under the laws of any applicable jurisdiction.

B. You have the option to delete or cancel your Account at any time and for any reason, by following the instructions provided on the Site. However, CrossTrade does not offer refunds for services that have been pre-paid. Therefore, if you cancel your account while there is a pre-paid balance, you will forfeit any remaining pre-paid balance. No refunds are available in such scenarios.

C During the registration process, you will be required to create a password for your CrossTrade Customer Account. It is crucial to keep your password confidential at all times, as you are accountable for all activities originating from your Customer Account. Access to your Customer Account is only possible by entering your password. Under no circumstances should you share your password with anyone. While CrossTrade implements reasonable security measures to safeguard the confidentiality of your password, it cannot assure complete protection of your password, Customer Account, Customer Content, or your personal and financial information. CrossTrade cannot ensure that its security protocols will be impenetrable to Third-Party hackers attempting to illegally access the Services or its content. By using the Services and establishing a Customer Account, you acknowledge and accept all risks of unauthorized access to the Customer Data and any other information you provide to CrossTrade. In the event of unauthorized use of your Account, you must immediately notify CrossTrade of such unauthorized access or any suspected unauthorized use, or any other breach of security.

D. By using the Services and creating a Customer Account, you agree to assume all risks associated with unauthorized access to the Customer Data and any other information you provide to CrossTrade. If CrossTrade suspects that your password has been compromised or is no longer secure, it reserves the right to suspend your Customer Account or require a password change.

E. CrossTrade is not responsible for any loss or damage resulting from your non-compliance with the above requirements, or from security breaches of your account due to your failure to use a secure and unique password, failure to safeguard your login credentials, or inability to prevent unauthorized access to your account. A secure password should be at least 10 characters long and include at least one uppercase letter, one lowercase letter, one numeral, and one punctuation mark. It is your responsibility to ensure the security of your password on your account.

Proprietary Rights

CrossTrade owns and operates the Services. The Services, any software used in connection with the Services, and any CrossTrade Content (as defined in Section are licensed, not sold, to you, the user. By using the Services, you agree that the Services, any software, or algorithms used in connection with the Services, and any CrossTrade Content contain proprietary and confidential information that is protected by intellectual property and other applicable laws. You are prohibited from modifying, renting, leasing, loaning, licensing, selling, distributing, or creating derivative works based on the Services, software, or Content offered, unless such activities are explicitly allowed by applicable law or authorized by CrossTrade.

CrossTrade grants you a personal, non-transferable, and non-exclusive license to access and use the Services. This license is valid only as long as you do not, and do not permit any Third-Party to, copy, modify, create a derivative work from, reverse engineer, attempt to discover any source code, sell, assign, secure a security interest in, or otherwise transfer any rights in the Services. Access to and use of the Services must be through the interface provided by CrossTrade, and you agree not to access the Services by any other means.

The name “CrossTrade”, along with its associated logos, marks, designs, and names of specific Services, are the exclusive trademarks of CrossTrade, and you must not use or display these trademarks without CrossTrade's prior written consent. All rights not explicitly granted under this agreement are reserved by CrossTrade. Any Third-Party trade or service marks displayed through the Services are the property of their respective owners. Apart from what is stated in this agreement, you agree to use the Services and Content solely for your personal and non-commercial purposes.

Third Party Content

A. CrossTrade displays Third-Party Content, including links and advertisements, over which it has no control. CrossTrade does not endorse Third-Party Content or the information, materials, products, or services linked to it. Interactions with Third-Parties due to Third-Party Content are solely between you and the Third-Parties, independent of CrossTrade. CrossTrade is not liable for any loss or injury resulting from such dealings or the display of Third-Party Content.

B. CrossTrade and Third-Parties may provide links to other websites or resources. CrossTrade has no control over such websites or resources and is not responsible for their availability. CrossTrade does not endorse such external sites and is not liable for any content, advertising, products, or materials on them. CrossTrade is not responsible for any loss or injury resulting from visiting linked external websites or resources.

Third Party Promotions

CrossTrade may occasionally offer special pricing or discounts to users of products owned by its parent organization, sister organizations, subsidiaries, or affiliates. CrossTrade reserves the right to offer such benefits, discounts, or promotions, which will expire 12 months after the issuing date.

Rules of Services Use

A. Non-Solicitation
Soliciting or recruiting other CrossTrade users or members is prohibited unless you have obtained written permission from CrossTrade. This includes soliciting users to join competitive sites and services or to make their methods available outside of CrossTrade. Violating this policy may result in account termination and legal action to recover lost revenues and applicable damages.

Customer Alerts

A. CrossTrade is not responsible for Customer Alerts. You are responsible for all Alerts you upload, post, transmit, or make available through the Services. CrossTrade does not control or monitor Customer Alerts and does not guarantee their accuracy, quality, or integrity. CrossTrade is not liable for any Customer Alerts under any circumstances. CrossTrade may monitor Accounts or Alerts and access, preserve, and release your Customer Alerts and data if required by law or believed necessary for various reasons, including legal compliance and protecting the rights, property, or safety of CrossTrade, its customers, and the public. CrossTrade will maintain the confidentiality of your data and payment method to the best of its ability.

B. You are solely responsible for your Alerts. You assume all risks associated with your Alerts, including others' reliance on their accuracy and any personal information you disclose. You represent and warrant that your Customer Content does not violate our Acceptable Use Policy. You must not imply that your Customer Content is endorsed by CrossTrade. You may expose yourself to liability for your Customer Alerts. CrossTrade is not obligated to backup Customer Alerts, and it's your responsibility to maintain backups.A. Acceptable Use Policy: In addition to other restrictions, you agree not to interfere with or burden servers or sites connected to CrossTrade, access CrossTrade unauthorizedly, use software or scripts to create multiple accounts or generate automated searches or queries, or scrape data from CrossTrade. CrossTrade grants conditional permission to public search engines to use spiders for creating publicly available searchable indices of the materials.

C. By providing Customer Alerts, you warrant that you own the rights to the Alerts and that CrossTrade bears no liability for them. 

D. Account Termination and Customer Alert DeletionA. Upon terminating your Account, you can request the complete erasure of your Customer Alerts, including previously submitted Alerts. CrossTrade will use reasonable efforts to erase your Account and Customer Alerts, but complete purging may not be possible.

E. Review of Customer AlertsCrossTrade and its agents have the right, but not the obligation, to pre-screen, monitor, refuse, or remove any Customer Alerts. You acknowledge that CrossTrade is not liable for the accuracy or safety of any Customer Alert and that you bear all risks associated with using any Customer Alerts available through the Services. CrossTrade has the right to remove any Customer Alert that violates the Terms or is otherwise objectionable.

Customer Alerts

A. CrossTrade is not responsible for Customer Alerts. You are responsible for all Alerts you upload, post, transmit, or make available through the Services. CrossTrade does not control or monitor Customer Alerts and does not guarantee their accuracy, quality, or integrity. CrossTrade is not liable for any Customer Alerts under any circumstances. CrossTrade may monitor Accounts or Alerts and access, preserve, and release your Customer Alerts and data if required by law or believed necessary for various reasons, including legal compliance and protecting the rights, property, or safety of CrossTrade, its customers, and the public. CrossTrade will maintain the confidentiality of your data and payment method to the best of its ability.

CrossTrade Content

A. CrossTrade Content includes trademarks, trade names, trade dress, service marks, copyrighted material, source code, algorithms, financial market analysis, and other information ("CrossTrade Content") contained in the Services and on the Site.

B. Ownership: CrossTrade exclusively owns all CrossTrade Content, including copyrights, trademarks, trade dress, service marks, source code, algorithms, and other intellectual property rights. Except as expressly permitted by the Services or the applicable Conditions, you may not download, copy, or save any CrossTrade Content. You may print screens for personal use or records, ensuring logos and marks remain visible. Unless permitted by the Terms, Conditions, or CrossTrade's written consent, you may not modify, copy, publish, display, adapt, transmit, or exploit CrossTrade Content.

C. CrossTrade Content is not financial or investment advice. Consult a financial or investment adviser before using CrossTrade and the Services. CrossTrade Content should not replace financial advice or consultations with financial or investment advisers. It should not be used for long-term financial planning. Do not disregard or delay seeking financial advice due to CrossTrade Content. Your use of CrossTrade does not create a fiduciary relationship with CrossTrade.

D. CrossTrade is not an investment advisory service, a registered investment advisor, or broker-dealer. It does not suggest the value of securities or which ones to buy or sell. CrossTrade users may hold positions in discussed stocks. Trading securities involves high risk. CrossTrade, its users, authors, publisher, and affiliates assume no responsibility for your trading and investment results. Past results of any trading system or trader published by CrossTrade are not indicative of future returns. The information on CrossTrade is for informational and educational purposes only and should not be construed as investment advice. Always consult your licensed financial advisor and tax advisor before making any investment.

Use of the CrossTrade Site

A. The CrossTrade Site is accessible via compatible laptops, computers, and mobile devices. CrossTrade does not guarantee compatibility with all devices. Normal messaging, data, and other rates from your wireless carrier apply. Some wireless carriers may restrict or prohibit the use of the Site. Ensure compatibility with your device and carrier before using the Services. Using the Site signifies your consent to CrossTrade communicating with you electronically, and you agree to the transmission of information about your use of the Site to CrossTrade. Update your Customer Account promptly if you replace or deactivate your mobile device or its number.

B. End User License: CrossTrade grants you a non-exclusive, non-transferable, revocable license to use the Site for personal use on one Account and one mobile device owned or leased by you. You may not alter, disassemble, reverse engineer, lease, loan, sublicense, resell, distribute, or transfer the Site. You may not erase or alter proprietary rights notices on the Site or circumvent security features. CrossTrade may upgrade the Site version on your device automatically. You consent to such upgrades and agree that the Terms apply to all upgrades. The license granted is not a sale of the Site, and CrossTrade retains all rights, titles, and interests in the Site. Unauthorized transfers or attempts to transfer any rights, duties, or obligations are void.

C. Setting of Alerts: To use CrossTrade, direct alerts from platform TradingView to the CrossTrade webhook address in your account. Ensure correct alert configuration and command formatting per CrossTrade instructions. CrossTrade will convert alerts into the broker's preferred format and forward them as orders.

CROSSTRADE DOES NOT CONFIRM PRICING DATA OR MONITOR CUSTOMER ALERTS OR BROKER BEHAVIOR. You are responsible for setting trading alerts, configuring them correctly, and monitoring their processing. You are solely responsible for your investment accounts, trading patterns, strategies, and use of CrossTrade.

Disclaimers of Warranties and Release of Liability

A. General Disclaimer of Warranties: The Services, including the Site and Third-Party software or applications, are provided "as is" without warranties of any kind. CROSSTRADE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. CrossTrade and its subsidiaries, affiliates, officers, employees, agents, partners, licensors, and suppliers do not warrant that the Services will meet your requirements, be uninterrupted, error-free, secure, accurate, reliable, or that any errors will be corrected. Any products, services, information, or materials obtained through the Services are used at your own discretion and risk.  CROSSTRADE DOES NOT EXECUTE TRADES, GUARANTEE TRADE PRICES, OR CONTROL BROKERS OR THIRD-PARTIES. It connects users to brokers and transmits order requests based on market conditions, not individual broker analysis. CrossTrade is not liable for discrepancies in trade prices or third-party failures to execute trades. It only attempts to send alerts based on user settings without guaranteeing transmission, receipt, or desired trade outcomes.

B: Miscellaneous Disclaimers: CrossTrade disclaims liability for content accuracy, legality, operability, reliability, or availability of information or material provided by the Services. It disclaims responsibility for search results, financial market analysis, erasure, data storage, delivery failures, and injuries from downloading materials from the Services. Users download or access materials at their own risk. Minors under 18 are prohibited from using CrossTrade's Services or Site. CrossTrade disclaims responsibility for minors' use and will remove minors' information upon request. Limitations of liability apply regardless of the failure of essential purposes of remedies. CROSSTRADE IS NOT LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM SERVICE USE. This includes costs of substitute goods or services, lost data, account access, or any other service-related matters. If dissatisfied with CrossTrade, your sole remedy is to discontinue its use. Limitations of liability apply even if a remedy fails its essential purpose.

Live Trading Risks

Using CrossTrade acknowledges risks in automated trading and investing. CrossTrade is not liable for losses incurred. Risks include design errors, connectivity issues, algorithm flaws, market conditions, data inaccuracies, execution problems, criminal activities, and rapid losses. Constant monitoring of live trading algorithms is advised.

Indemnification

You agree to indemnify CrossTrade and its personnel from claims arising from your use of CrossTrade, violation of Terms, laws, regulations, or Customer Content. CrossTrade may assume defense and control of any indemnification matter, requiring your cooperation.

Limitations of Liability and Damages

CrossTrade and its affiliates are not liable for damages related to your use of the Services, including special, indirect, or consequential damages. This applies to injuries from service use, procurement costs, data or account alterations, or other service-related issues. The maximum liability to you is the lesser of $100 or the amount paid to CrossTrade in the preceding 12 months. Liability limitations apply to all claims, regardless of legal theories.Use of CrossTrade and its content is at your risk. CrossTrade does not warrant reliability, accuracy, timeliness, usefulness, or suitability of its content. It is not liable for damages or losses from Site use, including loss of money, goodwill, reputation, or other intangible losses. Liability limits may not apply in certain jurisdictions.

Arbitration Agreement

Disputes arising from these Terms will be resolved by arbitration in a location deemed by CrossTrade ownership and before three arbitrators. Arbitration awards may be enforced in Cook County courts.

Authority of Arbitrator: The arbitrator decides on claims and disputes, and no claim consolidation or class actions are allowed. The arbitrator can award monetary damages and non-monetary relief as allowed by law.

Waiver of Jury Trial: Parties waive rights to a court trial, opting for arbitration instead.

Waiver of Class or Consolidated Actions: Claims must be arbitrated or litigated individually, not as class actions.

Confidentiality: Arbitration proceedings are confidential, except as required by law.

Severability: Invalid or unenforceable parts of this Arbitration Agreement do not affect the validity of other parts.

Right to Waive: Rights and limitations in this Arbitration Agreement can be waived by the party against whom the claim is asserted.18.8. Survival of Agreement: This Arbitration Agreement survives termination of your relationship with CrossTrade.

Claims Not Subject to Arbitration: Defamation, Computer Fraud and Abuse Act violations, and copyright, trademark, or trade secret infringements are not covered by this Arbitration Agreement.

Courts: Litigation permitted by this Arbitration Agreement will be in Cook County courts.

Choice of Law and Venue

Actions related to CrossTrade, the Services, Content, or these Terms will be governed by Wyoming laws and U.S. federal law. Venue for actions lies in the governing Wyoming County courts, with parties consenting to this jurisdiction.

Statute of Limitations: Claims related to the Services or Terms must be filed within one year of their occurrence, or they will be barred.

Severability

Unenforceable provisions of these Terms will be severed, not affecting the enforceability of the remaining provisions.

Assignment

You cannot assign your rights and obligations under this Agreement without CrossTrade's consent. CrossTrade may assign its rights and obligations at its discretion.

Amendments

CrossTrade may amend this Agreement periodically. Amendments will be posted or emailed. Refusing amendments requires ceasing CrossTrade use.

California Users

California users have specific rights regarding pricing inquiries and complaints. California's Consumer Services Division can be contacted for assistance.

Digital Millennium Copyright Act of 1988

DMCA provisions apply for copyright claims related to CrossTrade. Proper notice must be given to CrossTrade for copyright infringement claims or counter notices.

Miscellaneous

No joint venture, partnership, employment, or agency relationship exists between users and CrossTrade due to these Terms. These Terms constitute the entire agreement for Services use. CrossTrade's failure to enforce any right or provision does not constitute a waiver. You cannot transfer your Account or obligations without CrossTrade's consent. CrossTrade can transfer or assign its rights and delegate its obligations. 

Notice: Notices to you from CrossTrade via email, mail, or Services links are considered acceptable. Notice is deemed received 48 hours after email or mail sending, or 24 hours after Services link display.
